Terms of Service

Article 1: Purpose

These Terms of Service govern the relationship between Wonjo Works Corp (operating the service "Gyeongo") and users regarding the use of construction estimation and project management services. By accessing or using Gyeongo, you agree to be bound by these Terms.

Article 2: Definitions

1. "Service" refers to Gyeongo and all features provided therein, including estimate creation, material management, project management, customer management, and portfolio tools.

2. "User" refers to any individual or entity that accesses or uses the Service in accordance with these Terms.

3. "Pro Subscription" refers to the paid monthly subscription plan that provides access to premium features of the Service.

Article 3: Service Usage

1. The Service is offered in two tiers: a Free plan and a paid Pro plan.

2. The Free plan allows up to 5 estimate documents per month. The Pro plan provides unlimited access to all features.

3. Users must comply with all applicable laws and regulations, as well as these Terms, when using the Service.

4. Users may not use the Service for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Service.

Article 4: Subscription & Payment

1. The Pro Subscription is priced at USD $9.99 per month and renews automatically on a monthly basis.

2. If you do not cancel before the renewal date, your payment method will be charged automatically for the next billing cycle.

3. You may cancel your subscription at any time via Settings > Subscription Management. Upon cancellation, you retain access to Pro features until the end of the current billing period.

4. Payments are processed securely through PayPal. By subscribing, you authorize PayPal to charge the applicable fees to your payment method on a recurring basis.

Article 4a: Refund Policy

1. Full Refund: If you have not used any Pro features within 7 days of your initial payment, you are eligible for a full refund.

2. No Refund: After 7 days from the payment date, or if you have used any Pro feature at least once, refunds will not be issued except as required by applicable law.

3. Service Failure Refund: If a refund is warranted due to a service failure or outage attributable to Wonjo Works Corp, a prorated refund will be issued based on the period during which the Service was unavailable.

4. How to Request: Submit refund requests by email to wonjoworks@gmail.com with the subject line "Refund Request". Include your account email address and the reason for the request.

5. Processing Time: Approved refunds will be processed within 3 business days and returned to the original payment method.

Article 5: Service Changes & Termination

1. Wonjo Works Corp reserves the right to modify, suspend, or discontinue all or part of the Service at any time for operational or technical reasons.

2. In the event of a material change or discontinuation, we will notify users in advance through the Service or by email where reasonably practicable.

3. Wonjo Works Corp may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms.

4. If we permanently discontinue the Service, we will provide at least thirty (30) days’ prior notice by email and offer you the ability to export your data in a commonly used, machine-readable format (such as CSV or JSON) before termination.

Article 6: Disclaimer of Warranties & Limitation of Liability

1. Estimate calculations provided by the Service are for reference purposes only. Actual construction costs may differ, and Wonjo Works Corp is not liable for any discrepancies, lost business opportunities, or disputes between you and your clients or third parties arising from the use of such estimates.

2. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Wonjo Works Corp does not warrant that the Service will be uninterrupted, error-free, or secure.

3. Wonjo Works Corp is not responsible for transactions, agreements, quality of workmanship, payments, or disputes between users or between users and third parties, including end clients of users.

4. To the maximum extent permitted by applicable law, in no event shall Wonjo Works Corp, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, revenue, data, goodwill, or business opportunities), whether based on contract, tort, or any other legal theory, even if advised of the possibility of such damages.

5. Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability is limited to the minimum extent permitted by applicable law.

Article 6a: Indemnification

You agree to defend, indemnify, and hold harmless Wonjo Works Corp, its officers, directors, employees, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

(a) your use or misuse of the Service;

(b) estimates, invoices, project updates, photos, or other content you create, upload, or transmit using the Service;

(c) any dispute, claim, or controversy between you and your clients, customers, subcontractors, or any third party, including disputes regarding workmanship, materials, pricing, scheduling, or payment;

(d) your violation of these Terms, any applicable law, or any third-party right (including intellectual property and privacy rights); or

(e) inaccurate, misleading, or unlawful information you provide through the Service.

Article 7: User Content & License

1. Ownership. You retain all ownership rights in the content you upload to or create through the Service, including estimates, project photos, client data, and portfolio items (collectively, "User Content").

2. License to Operate. You grant Wonjo Works Corp a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and transmit your User Content solely to the extent necessary to operate, provide, and maintain the Service for you, including but not limited to rendering public portfolio pages you explicitly enable.

3. Your Representations. You represent and warrant that (a) you own or have all necessary rights to your User Content, (b) your User Content does not infringe or violate any third-party right, including intellectual property, publicity, or privacy rights, and (c) you have obtained the consent of any identifiable individuals depicted in photos before uploading them.

4. No Promotional Use Without Consent. We will not use your User Content for Wonjo Works Corp’s marketing, promotional, or advertising materials without your prior opt-in consent.

5. Feedback. If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

Article 8: Governing Law, Dispute Resolution & Arbitration

1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.

2. For users located in Korea: any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Seoul, Republic of Korea.

3. For users located outside Korea: any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding individual arbitration administered by the Korean Commercial Arbitration Board (KCAB) under its International Arbitration Rules, seated in Seoul, conducted in the English language, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

4. Class Action Waiver. You and Wonjo Works Corp each waive any right to a jury trial and any right to participate as a plaintiff or class member in any purported class, collective, representative, or mass action. Arbitration shall be conducted on an individual basis only.

5. Consumer Rights Preserved. If you are a consumer residing in the European Union, the United Kingdom, or another jurisdiction whose mandatory consumer protection laws grant you non-waivable rights (including the right to bring claims in your local courts), nothing in these Terms overrides those rights. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

6. 30-Day Opt-Out. If you do not wish to be bound by the arbitration clause in paragraph 3, you may opt out by emailing wonjoworks@gmail.com within 30 days of first accepting these Terms, with the subject "Arbitration Opt-Out" and your account email.
